Independent MicroSTAR Independent Representative Policies and Procedures
By reading the information on this site and signing the application, I agree that I have read and understand these statements as outlined by MicroSTAR.Tv., herein referred to as MicroSTAR.
The Policies and Procedures of MicroSTAR contained herein were established to explain and define the rights and responsibilities of MicroSTAR and its Independent Marketing Representatives.
Each Independent Marketing Representative agrees, without reservation, to all the terms and conditions contained herein and hold MicroSTAR free from any and all liability that may result from this agreement between the Independent Representative and MicroSTAR.
Cancellation and Refund Policy
All members to pay an annual application fee of $75 and a monthly Bronze EP of $75.00 per the monthly Bronze membership selected. Monthly Bronze maintains access to all E.P. products and services.
There is no long term commitment or timeframe in which a member must continue to remain active. Members may cancel their membership at any time and for any reason by written notice to microstar@shaw.ca in the manner described on the member application.
MicroSTAR maintains a 3 to notify, 10 day to return product refund policy. See member order form for details. You may cancel your membership within 3 days of becoming a member to be eligible for a refund. After you have been a member for 10 days, no refunds either partial or full are given.
The same 10 day policy applies to the monthly product purchase. See member order form for details.
Refunds are only given if the eligibility requirement is met and if the refund is requested. To request a refund, you must send a written and signed letter to MicroSTAR including your MicroSTAR ID number.
Anti-Spam Policy
In order to protect our members and ensure the long term growth and success of MicroSTAR, MicroSTAR maintains a ZERO tolerance policy towards the sending of spam email. Spam email is defined as Unsolicited Commercial Email (UCE). In the event that you send spam email to people without their permission, you risk immediate cancellation of your account and forfeiture of all contacts in that account. As a MicroSTAR member, you understand that MicroSTAR neither condones nor tolerates the sending of unsolicited or spam email by its members. You understand and acknowledge that:
It is ILLEGAL to forge headers on emails and it is ILLEGAL to neglect to include a valid functional unsubscribe link along with a valid mailing address in any emails sent out. Anyone caught forging headers or not including a valid functional unsubscribe link will be immediately and permanently terminated from MicroSTAR. MicroSTAR also prohibits all members from including the MicroSTAR name, logo or website address in any emails they send out. Members are required to use a redirect link when directing prospects to the MicroSTAR.Tv landing page.
We also require all members to download their list of email addresses that have generated a complaint that can be found in the Spam Policy link in the members section of the MicroSTAR website and permanently remove them their your database. If we receive a complaint from the same email address as a previous complaint from an email that was sent more than a week after the original complaint was filed, MicroSTAR has the right to terminate membership. You are solely responsible for mail sent on your behalf.
MicroSTAR will immediately terminate your membership and suspend all future commissions for violating these Spam Policies. MicroSTAR reserves the right to take legal action against any member found violating this Spam Policy. You will not be eligible for a refund if you are terminated for violating the MicroSTAR Spam Policy.
Product and Earnings Policy
Each member is responsible for reviewing the MicroSTAR Compensation Plan as outlined on the Cash & Rewards opportunity page of our website.
BRONZE StarBoard matrix (monthly) earnings will be paid the first week following the week generated.
There is a 1% commission processing fee per the cash portion of each StarBoard level earned. A chargeback will occur if a member cancels and requests a refund of membership or product fees. All commissions, bonuses, and overrides paid will be recovered from representative and upline commissions and bonuses. A member will be permanently deactivated after 30 days of non-payment of membership fees and downline, commissions, and bonuses will be permanently forfeited.
MicroSTAR BRONZE monthly product purchase includes access to the consumer travel benefits provided by affiliate company/ies, provided by MicroSTAR and its trainers. All active members participate in the MicroSTAR compensation program as outlined on the CASH & REWARDS+ pay plan page of the website.
Commissions are paid as outlined on the Pay Plan page of the website. All members understand BEFORE paying their membership fee that there are NO GUARANTEED EARNINGS. Members understand that the Progressive Income Powerline genealogy is not to reflect earnings, but to be a representation of company growth and does not mean anything in terms of commissions. All earning/s illustrations are simply as potential earnings.
Neither MicroSTAR, nor its members can guarantee "spillover" or earnings simply by becoming a member. MicroSTAR members are purchasing consumer products and travel benefits packages of a variety of goods and services as outlined on the Membership and Opportunity pages. Members should not participate in MicroSTAR if they are not planning on using the consumer EP products or benefits, nor if they are not planning on sharing the product opportunity with others.
Although it is possible, MicroSTAR members should NOT expect to make a profit simplMembers should not participate in MicroSTAR under the expectation of earning income without referring new y by becoming a member as it is highly unlikely that will occur. MicroSTAR cannot guarantee that members earn a profit by implementing the training materials provided.
No member should spend money that they cannot afford to lose to become a member and maintain their membership in MicroSTAR. It is possible that you will NOT earn income as a member of MicroSTAR.
As an IMR, (Independent MicroSTAR Represesntative) You understand that you are an independent contractor, and not an agent, employee, or franchisee of MicroSTAR. You understand and agree that you will not be treated as an employee for federal, provincial or state tax purposes, nor for purposes of the Federal Unemployment Tax Act, the Federal Insurance Contributions Act, the Social Insurance Act, Provincial Unemployment Acts, Provincial Employment Security Acts, or Provincial Workers Compensation Acts. You understand and agree to pay all applicable provincial, federal and state self-employment taxes, sales taxes, local taxes, and/or local license fees that may become due as a result of my activities under this Agreement.
All members living in the United States are required to provide tax ID and/or their social security number should their commissions exceed $600 for any calendar year. Failing to do so may result in withholding future commission or even termination. You are responsible for all actions concerning payment of income and social security taxes as required by the country of residing IMR.
Compliance Policy
MicroSTAR may change, alter, add, or detract conditions of membership, products, services, and compensation at any time and for any reason. MicroSTAR reserves the right to terminate a member at any time for violating any of our policies regardless of fault.
All disputes and claims relating to MicroSTAR, this Agreement, the compensation plan, or its products, the rights and obligations of a Representative and MicroSTAR, or any other claims or causes of action relating to the performance of either a Representative or MicroSTAR under the Agreement or the rules and regulations, and/or a Representative's purchase of products shall be adjudicated totally and finally in the province of Alberta, or such other location as MicroSTAR prescribes.
MicroSTAR and its affiliates, officers, directors, employees, and other representatives shall not be liable for, and the Representative hereby releases the foregoing from and waives any claim for loss of profit, incidental, special, consequential, or exemplary damages which may arise out of any claim whatsoever relating to MicroSTAR performance, non-performance, act, or omission with respect to the business relationship or other matters between the Representative and MicroSTAR whether sounding in contract, tort, or strict liability.
The following statements are personal to you, the MicroSTAR IMR. I am of legal age in the state/province in which I enter this Agreement. I understand that I am not a MicroSTAR IMR (Independent Marketing Representative) until MicroSTAR has received membership paperwork and payment at its home office.
I understand that IMRs cannot under any circumstances purchase, lease, or utilize any MicroSTAR name-branded domain names, nor domain names that contain any variations of MicroSTAR. Nor may IMRs use the MicroSTAR name, logo, or any other intellectual property of MicroSTAR without the expressed written consent of MicroSTAR. I understand that IMRs cannot, under any circumstances, conduct business as MicroSTAR, incur any debt, expense, or obligation on behalf of, or for, MicroSTAR.
I understand that, as an IMR, I will not, for any reason, act as spokesperson for MicroSTAR and its Memberships, in any manner, to any media or publication, without prior, written authorization. I will not create, print, publish, or distribute any literature or materials representing MicroSTAR or its Memberships other than those from, or approved in writing by MicroSTAR.
I understand that, as an IMR, I have the following rights: (a) to sell the essential/entertainment and/or product/service packages offered by MicroSTAR in agreement with the Compensation Plan and these terms, and (b) to sponsor IMRs in agreement with the Compensation Plan and these terms.
I understand that I will make no claims or warranties of any kind, including, but not limited to, any claims for earnings or benefits concerning its Memberships, other than those included in MicroSTAR written literature. I may not use the MicroSTAR trade name, or any trademark registered to MicroSTAR, except in advertising approved by MicroSTAR.
I will not make Membership income claims. I am not permitted to create my own literature, sales aids, or training materials, without written consent from MicroSTAR.
I understand that my acceptance of this Agreement does not constitute the sale of a franchise or a security, no exclusive territories will be granted to me, and that no franchise fees have been paid, nor can I acquire any interest in a security by the acceptance of this Agreement.
MicroSTAR may, at its discretion, amend the MicroSTAR Compensation Plan and the terms of the IMR Agreement. Notification of such changes shall be published in one or more of the following: on its site, in newsletters, broadcast by Email, written or published material circulated or made available to all IMRs. I agree to abide by all such amendments. The continuation of my Business, and/or my acceptance of commissions and bonus checks, or other payments from - MicroSTAR, constitutes my acceptance of any and all amendments.
I may be active in other network marketing ventures, but am prohibited from soliciting MicroSTAR IMRs to other network marketing ventures (personally sponsored excepted).
My IMR position cannot be sold, assigned, or transferred without prior written approval from MicroSTAR. My position can be inherited. Documentation will be in accordance with the country, province or state in which the IMR lived at time of death. The "title" to the position shall be free of all claims and disputes before transfer to the inheritor. The inheritor must sign an IMR Agreement and abide by these terms.
I may have a financial interest in only one IMR StarBoard position at a time during my first cycle of the four levels contained within the MicroSTAR compensation plan. I understand that the use of corporate form, trust, or partnership in an attempt to circumvent this rule will not be tolerated.
I have carefully reviewed the MicroSTAR Compensation Plan and acknowledge that it is incorporated as a part of this Agreement in its present form and is modified from time to time by MicroSTAR. My violation of any of the terms of this Agreement may result at MicroSTAR discretion, in forfeiture of commission and bonus checks, or other payments from MicroSTAR; loss of all or part of my marketing organization; or cancellation of this Agreement.
This Agreement constitutes the entire agreement between the parties, and no other promises, representations, guarantees, or agreements of any kind shall be valid unless in writing. If any provision herein is held to be invalid, all other provisions shall remain valid and enforceable.
This Agreement shall be governed by the laws of the province of Alberta, and any claims or disputes between parties to this Agreement shall be subject to binding arbitration determined soley by MicroSTAR.Tv., with arbitration to be held in Calgary, Alberta.
